Myinfo business' Terms of Use

1. Agreement Terms

The Myinfo business service ("Service") allows entities a service that enables businesses to manage the use of its corporate and applicant's personal data (“Profile”) for simpler online transactions. All access to the Myinfo business service and website is governed by and subject to the terms and conditions below, as may be amended from time to time ("Terms"). If you do not accept any of these Terms, please do not use the Website and exit immediately. Continue only if you accept these Terms.

These Terms may be changed from time to time without notice, and such changes will take effect immediately upon being published on the Website. Your use of the Website or Service after such changes have been published on the Website shall constitute your agreement to be bound by the modified Terms and all of the changes. Please check the Terms whenever you access the Website.

In these Terms:
(a) the words "we", "our" and "us" refer to the Government of the Republic of Singapore;
(b) "Losses" means all liabilities, losses, damages, actions, claims, demands, costs, expenses and penalties; settlement sums and sums paid in satisfaction of any court, arbitral or expert award;
(c) "Participating Agencies" means participating Government agencies and Statutory Boards;
(d) "Parties" means you and us, and "Party" means either you or us; and
(e) "Statutory Board" means a body corporate established by or under any public Act of Parliament to perform or discharge any public function.

2. Responsibility for the Accuracy of Entity Profile

It is your personal responsibility to ensure that all corporate and personal data contained in your Profile is complete, accurate, true and correct.
If you choose to rely on the corporate and personal data contained in your Profile for the purpose of any Private Digital Services, it is your responsibility to ensure that all corporate and personal data submitted for purposes of such transactions or Private Digital Services is complete, accurate, true and correct. You shall be responsible for all Losses arising out of or in connection with such corporate and personal data not being complete, accurate, true or correct. We shall not be liable for any such Losses.

3. Access to the Service and Website

The accessibility and operation of the Service and Website rely on technologies outside our control.

We do not make any warranty or representation that access to the Service and Website will be uninterrupted, free from error, free from computer virus or other malicious, destructive or corrupting code or that any identified defect will be corrected. We shall not be liable for any Losses arising out of or in connection with any such interruption, error, defect or computer virus or other malicious, destructive or corrupting code, including but not limited to:
(a) any loss of, or any inability to retrieve, any data or information however caused as a result of any interruption, suspension or termination of service; and
(b) any inaccuracy in the information presented, used or transmitted through the Website.

We shall be entitled to suspend, terminate or vary the Service and Website or its operating hours at any time without prior notice at our sole and absolute discretion without giving any reason and without prejudice to our rights against you (including all rights of action for any antecedent breach of these Terms by you).

4. Relying on Information

We do not guarantee the accuracy, correctness, adequacy, fullness, reliability, timeliness, non-infringement, title, merchantability, fitness for any particular purpose of any statement, opinion, representation or other information on the Website. Any information provided on the Website does not constitute professional or legal advice. Before relying on the Service or Website, you should do your own checks or obtain professional advice to your particular circumstances.

5. Security

Where appropriate, we use available technology to protect the security of communications made through the Website. However, we shall not be responsible or liable for the security, authenticity, integrity or confidentiality of any transactions and other communications made through the Website.

You must report to the system administrator immediately using the feedback form if you know or have reason to suspect that the security of your Profile has been compromised or your Profile has been used by another person without your authority. 6. Links to or from the Myinfo business Website

We do not warrant and endorse, and are not responsible or liable for the availability or content of any other website ("Other Website") linked to or from the Website. Access to any Other Website is at your own risk. If you create a link or frame to the Website, or access the Website by any means other than through the official Website's URL, you do so at your own risk.

The Government shall not be liable for any damage or loss of any kind caused as a result (direct or indirect) of the use of any Other Website, including but not limited to any damage or loss suffered as a result of reliance on the contents contained in or available from the Other Website.

We shall have the right to object to or disable any link or frame to or from the Website. We shall also have the right to change the URL of the Website.

7. Intellectual Property

The contents of the Website, including source code, pages, documents and online graphics, audio and video in the Website are protected by law. The intellectual property rights in the materials are owned by or licensed to us. In using the Website or Service, you shall not infringe any intellectual property rights or interests of the Government or any other party.

Apart from any fair dealings for the purposes of private study, research, criticism or review, as permitted in law, no part of the Website may be reproduced or reused for any commercial purposes whatsoever without our prior written permission.

8. General Disclaimer And Limitation Of Liability

The contents of the Website are provided on an "as is" basis without warranties of any kind. Without prejudice to the other provisions of these Terms, we will not be liable for any Losses arising out of or in connection with:
(a) your use of the Service, or visit to the Website;
(b) your failure to follow the instructions, procedures and directions for using the Service or Website;
(c) your reliance on any statement, opinion, representation or information in the Service or Website;
(d) any delay in operation or transmission, communications failure, internet access difficulties or malfunctions in equipment or software (including malfunctions of any computer, terminal connection line, data processing system, transmission link or any other equipment whether or not belonging to us);
(e) any computer virus or other malicious, destructive or corrupting code;
(f) the conduct or the views of any person who accesses or uses the Service or Website; and
(g) any loss of security or information.

9. Fees

There are currently no fees for using any part of the Website. We reserve the right to introduce new fees from time to time. We are not responsible for any fees charged by any other Internet site (not provided by us).

10. Rights of Third Parties

(a) Save for Statutory Boards, a person who is not a party to these Terms shall have no rights to enforce any provision of these Terms.
(b) Statutory Boards may enforce and rely on these Terms to the same extent as if they were a party to these Terms.
(c) These Terms may be revised or varied without the consent of Statutory Boards.

11. General

(a) These Terms contain the entire and whole agreement between the Parties relating to the subject matter of these Terms.
(b) In the event any provision in these Terms is determined to be illegal, invalid or unenforceable, in whole or in part, such provision or part of it shall, to the extent it is illegal, invalid or unenforceable, be deemed not to form part of these Terms and the legality, validity and enforceability of the remainder of these Terms shall not be affected.
(c) In no event shall any delay, failure or omission on the part of either of the Parties in enforcing any right, power, privilege, claim or remedy ("Remedy"), which is conferred under these Terms or at law or in equity, or arises from any breach by the other Party, (a) be deemed to be or be construed as a waiver or variation thereof, or of any other such Remedy, in respect of the particular circumstances in question, or (b) operate so as to bar the enforcement or exercise thereof, or of any other such Remedy in any other instances at any time or times thereafter.
(d) No waiver of any breach of these Terms shall be deemed to be a waiver of any other or of any subsequent breach.
(e) Any waiver granted under these Terms must be in writing and may be given subject to conditions. Such waiver under these Terms shall be effective only in the instance and for the purpose for which it is given.

12. Governing Law and Jurisdiction

These Terms shall be governed by and interpreted in accordance with the laws of Singapore. You irrevocably agree to submit to the exclusive jurisdiction of the Singapore courts.

13. Variation

We may revise these Terms at any time by updating this page, and will provide notification thereof on the Website. You should visit this page from time to time and review the Terms because they are binding on you. We may modify or discontinue any information or features that form part of the Service and Website at any time, with or without notice to you, and without liability.

14. Terms and Conditions for e-Services

In addition to these Terms, you shall also be required to comply with all other terms and conditions of Private Digital Services.
